Victory Giant Technology (HuiZhou) Co., Ltd. (VGT) has re-designated Ms. Liu Chunlan from Non-Executive Director to Executive Director, effective 27 August 2026, as part of a broader work reorganisation plan.

Ms. Liu, aged 49, joined VGT in January 2003 and has served on the Board since April 2016. She became General Manager of the Group’s Strategic Development Department in September 2011 and will continue to oversee strategic planning, major operational decisions and execution of key initiatives.

Remuneration for Ms. Liu remains unchanged; she will not receive additional pay for the new Board role. Her total package—subject to periodic review by the Remuneration and Appraisal Committee—includes a basic annual salary of RMB1.88 million plus allowances, benefits in kind, performance bonuses and retirement-scheme contributions.

Shareholding disclosures show Ms. Liu is deemed interested in 270.06 million A shares, representing 27.48 % of VGT’s issued share capital. The holding comprises 3.79 million shares in her own name and 266.27 million shares held by her spouse, Mr. Chen Tao, the Company’s Chairman and Executive Director.

The new service contract spans from 27 August 2026 until the end of the fifth Board session, after which Ms. Liu will be eligible for re-election. No other directorships, relationships or matters requiring disclosure under Hong Kong Listing Rule 13.51(2)(h)–(v) were reported.

Following the change, the Board consists of five Executive Directors—Mr. Chen Tao, Mr. Zhao Qixiang, Mr. Chen Yong, Ms. Wang Haiyan and Ms. Liu Chunlan—and four Independent Non-Executive Directors: Mr. Xie Lanjun, Dr. Xie Lingmin, Dr. Zhang Jihai and Mr. Wong Ting Chung.
